Terms of Service

1. Eligibility

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet this requirement and that you are not located in, or a resident of, a country or region subject to a comprehensive U.S. government embargo, and are not on any U.S. government list of prohibited or restricted parties.

2. The Service

LyricsStudio is a software tool that generates structured text prompts, lyrics, and album cover images compatible with third-party music generation platforms (such as Suno AI). The Service is provided as a productivity tool. You are responsible for how you use the generated output and any third-party platforms you submit it to. Individual features may be added, changed, or removed at any time.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. User Content and Copyright

4.1 Your Content

You retain all rights to lyrics, descriptions, images, or other material you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to process it, including by sending it to our third-party AI provider, for the purpose of providing the Service.

4.2 Your Responsibilities

You are solely responsible for ensuring that any User Content you submit:

• Is owned by you or used with proper authorization from the rights holder
• Does not infringe any third party's copyright, trademark, publicity, or other rights
• Does not contain illegal, defamatory, harassing, or otherwise unlawful material
• Does not depict a real, identifiable person without that person's consent

You may not submit lyrics or other content that you do not have the legal right to use. The Service is intended for original work and content you are authorized to process.

4.3 No Hosting of Copyrighted Material

We do not host, store, or distribute copyrighted music, lyrics, or any other copyrighted material. Generated prompts may be temporarily processed to provide the Service but are not made publicly available, redistributed, or used to train any models.

4.4 DMCA / Copyright Complaints

Our designated agent for notices of alleged copyright infringement under the Digital Millennium Copyright Act, registered with the U.S. Copyright Office (Registration No. DMCA-1079593), is:

A written notice to that address must include:

• A description of the copyrighted work
• The location of the allegedly infringing material on the Service
• Your contact information
• A statement of good-faith belief that use is unauthorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act

We will respond to valid notices in accordance with the DMCA, including by removing or disabling access to the material and, where applicable, notifying the user who submitted it.

4.5 AI-Generated Output

Lyrics, album cover images, and other output the Service generates for you are produced by a third-party AI model based on your input. We do not guarantee that this output is free of similarity to existing copyrighted works, that it is eligible for copyright protection in your jurisdiction, or that you will hold exclusive rights to it. You are responsible for independently verifying that generated output is safe for you to use, including commercially, before publishing or distributing it.

5. Acceptable Use

You agree not to:

• Use the Service to generate content that infringes third-party rights
• Use the Service to create an image of a real, identifiable person without their consent
• Attempt to reverse-engineer, scrape, or circumvent the Service
• Use automated tools (bots, scripts) to access the Service without our written permission
• Resell or sublicense the Service or its output without authorization
• Use the Service to create misleading, defamatory, or harassing content
• Submit lyrics from songs you do not own or have rights to use

Violation may result in account termination without refund.

6. Subscriptions and Billing

6.1 Free Tier

Free accounts receive a limited number of lifetime generations, shown in the app. There is no recurring obligation.

6.2 Pro Subscription

The Pro subscription is billed at $1.99 USD per month and automatically renews until cancelled. By subscribing, you authorize us (and our payment processor, Stripe) to charge your payment method on a recurring basis.

6.3 Cancellation

You may cancel your subscription at any time from your account page. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as described in 6.6 below.

6.4 Price Changes

We may change subscription pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.

6.5 Refunds

All payments are final, other than as described in 6.6 below. We may, at our sole discretion, issue refunds in cases of clear billing error.

6.6 EU / UK / EEA Right of Withdrawal

If you subscribe from the European Union, the United Kingdom, or another jurisdiction that grants a statutory withdrawal period for digital content or services, you normally have 14 days from subscribing to withdraw and receive a refund. By checking the box at checkout confirming you want immediate access to the Service, you expressly request that we begin performance immediately and acknowledge that once the Service has been fully provided, you lose that withdrawal right. Where the Service has not yet been fully provided, you may still withdraw within 14 days by emailing support@lyricsstudio.xyz.

7. Third-Party Services

The Service generates prompts intended for use with third-party platforms (Suno AI, etc.) and uses Google's Gemini API to generate lyrics, album cover images, and to remove watermarks. Your use of those platforms is governed by their own terms. We are not affiliated with, endorsed by, or responsible for Suno AI, Google, or any other third-party platform, and we are not responsible for changes to their services or policies that may affect how generated output performs.

8. Intellectual Property

The Service, including its design, code, branding, and underlying engine, is owned by Flet Media and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service. All third-party names and trademarks referenced on the Service, including Suno AI and Google Gemini, belong to their respective owners.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that generated output (including from third-party AI providers) will meet your expectations or yield desired results on third-party platforms.

We make no guarantee that:

• Generated prompts will produce specific or expected results in Suno or other platforms
• The Service will remain available indefinitely
• Output will be free of errors, similarity to existing works, or unintended content

10. Limitation of Liability

To the maximum extent permitted by law, Flet Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service.

Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $50 USD.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, or for fraud.

11. Indemnification

You agree to indemnify and hold harmless Flet Media, its operators, and affiliates from any claims, damages, or expenses (including attorneys' fees) arising from:

• Your violation of these Terms
• Your User Content, or your use of generated output, infringing third-party rights
• Your misuse of the Service

12. Dispute Resolution and Arbitration

This section does not apply if you are a consumer located in the European Union, the United Kingdom, or another jurisdiction whose law does not permit this kind of agreement — if that is you, skip to Section 15 (Governing Law), and you keep the right to bring a claim in your local courts as your law provides.

For everyone else: you and Flet Media agree that any dispute arising from these Terms or the Service will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court. There is no right or authority for any dispute to be arbitrated on a class, collective, or representative basis, and you waive any right to participate in a class action against us.

You may opt out of this arbitration agreement by emailing support@lyricsstudio.xyz with your name and account email within 30 days of first creating your account, stating that you opt out of arbitration. Opting out does not affect any other part of these Terms.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (User Content responsibilities, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law) will survive.

14. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued use after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-laws principles, except to the extent a consumer's local law requires otherwise. Subject to Section 12, any dispute arising out of these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of those courts.

16. General Provisions

16.1 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

16.2 Entire Agreement

These Terms, together with the Privacy Policy, form the entire agreement between you and Flet Media regarding the Service and supersede any prior agreements on the subject.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of our hosting, payment, or AI providers.
